These Terms of Service ("Terms") are a legally binding agreement between you and Shipping on Fridays LLC, a Connecticut limited liability company doing business as Get Cogit ("Company," "we," "us," or "our"), governing your access to and use of our website, web application, and any other platforms or services we may offer now or in the future, including any future mobile applications (collectively, the "Services").

Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

If you are using the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

1. Description of the Services

Get Cogit is a crew coordination platform for racing sailboat owners. The Services allow Boat Owners to: create an account and manage a crew roster; schedule races and sailing events; send automated email invitations and reminders to crew members; and view a real-time dashboard showing crew RSVP status.

Crew Members receive email invitations sent by Boat Owners through the Services and may respond to those invitations using a single-use link. Crew Members do not create accounts and are not required to log in.

2. Eligibility

You must be at least 18 years of age to create an account and use the Services as a Boat Owner. By creating an account, you represent and warrant that you are at least 18 years old and that all information you provide is accurate, current, and complete.

The Services are not intended for use by individuals under the age of 13. If you become aware that a minor under 13 has provided personal information to us, please contact us at support@getcogit.com.

3. Accounts and Registration

3.1 Account Creation

Boat Owner accounts are created through Google OAuth single sign-on ("Google SSO"). By using Google SSO, you authorize us to access your Google profile information (name, email address, and profile picture) in accordance with our Privacy Policy. We may in the future offer additional sign-in methods, including Apple SSO or email-based authentication.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@getcogit.com if you suspect any unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized access to your account caused by your failure to keep your credentials secure.

3.3 Registered Boats and Co-Owners

3.3.1 Boat Limit

Each account may register up to three (3) boats under the primary owner. We may change this limit from time to time. If we reduce it in a way that affects boats you have already registered, we will give you at least thirty (30) days' advance notice by email, and you may cancel your subscription for a pro-rata refund of the unused portion.

3.3.2 Co-Owners and Their Permissions

A primary owner may invite up to three (3) co-owners per boat. Co-owners have the following permissions, and no others:

Co-owners cannot invite or remove other co-owners, view or manage billing or payment information, change the primary owner, or delete the boat.

By inviting a co-owner, the primary owner represents that they have the right to grant that person access to the boat's information in Cogit. The primary owner is responsible for the actions co-owners take through the Services, including any crew invitations, reminders, and messages those co-owners send. You should only invite people you trust with full access to your boat's crew data. Cogit does not verify legal ownership of any boat and is not a party to any dispute between a primary owner and a co-owner.

3.3.3 Subscription Coverage

A single subscription held by the primary owner covers that owner and all co-owners of the boat. Co-owners do not pay separately to access boats they co-own, and co-owned boats do not count against a co-owner's own three-boat limit under Section 3.3.1.

Co-owner access follows the primary owner's subscription status in real time. If the primary owner changes plans, pauses their subscription, or cancels, co-owner access changes at the same time. Co-owners are not separate customers of Cogit for billing purposes and have no independent right to continued access if the primary owner's subscription ends.

3.3.4 Inviting and Removing Co-Owners

Co-owner invitations are sent by email and accepted by signing in with the invitee's Google account. Invitation links expire after acceptance or after a reasonable period set by Cogit. By accepting a co-owner invitation, the co-owner agrees to these Terms and our Privacy Policy as a user of the Services.

Only the primary owner can remove a co-owner through the dashboard. A co-owner who wants to end their association with a boat can email support@getcogit.com; we will remove them from the boat within a reasonable time and notify the primary owner. This does not affect the co-owner's separate rights under applicable privacy law.

When a co-owner is removed (whether by the primary owner or by their own request), their access to the boat ends immediately. Content they created while they were a co-owner — including races, crew records, invitations, and messages — remains with the boat and under the primary owner's control.

3.3.5 What Happens When Access Ends

If the primary owner's subscription lapses, cancels, or expires, write actions for that boat (creating or editing races, sending crew invitations, reminders, or messages, and adding crew) are suspended for the primary owner and all co-owners. The primary owner and co-owners keep read-only access to the boat's existing data for as long as the primary owner's account remains active, subject to our termination and privacy provisions.

If the primary owner deletes their Cogit account, the boat and all co-owner access to it end as well. Cogit does not currently support transferring primary ownership of a boat between users, and we do not provide inheritance or account-transfer services. If primary ownership needs to change, contact support@getcogit.com; we may help with this at our discretion but are not required to.

3.4 Accurate Information

You agree to provide and maintain accurate, current, and complete account information. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Crew Roster and Crew Member Communications

4.1 Boat Owner Responsibilities for Crew Data

When you add Crew Members to your roster, you are providing us with their names and email addresses. By doing so, you represent and warrant that:

4.2 Emails Sent on Your Behalf

When you send invitations, reminders, or messages through the Services, those emails are sent from our email infrastructure on your behalf, with your name in the "From" display field. You are responsible for the content of any custom messages or personal notes you include. You agree not to use the email sending functionality to send spam, harassing communications, or any content that violates these Terms or applicable law.

To ensure compliance with applicable laws, including the CAN-SPAM Act, we automatically include a functioning opt-out mechanism and our physical mailing address in the footer of every coordination email sent through the Services.

4.3 Crew Member Rights

Crew Members have no account and incur no obligations under these Terms merely by receiving emails. A Crew Member who wishes to be removed from a Boat Owner's roster or to stop receiving emails may: (a) use the opt-out or unsubscribe link included in every invitation email, or (b) contact us at support@getcogit.com.

6. Pricing, Subscriptions, and Payment

6.1 Free Trial and Automatic Conversion

New Boat Owner accounts receive a 15-day free trial with full access to all paid features of the Services. A valid credit card is required to begin your trial. Your credit card will not be charged during the trial period. If you do not cancel before the end of your 15-day trial, your subscription will begin automatically and your payment method will be charged on Day 16.

AUTOMATIC RENEWAL NOTICE: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD. YOUR PAYMENT METHOD WILL BE CHARGED THE APPLICABLE FEE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE BY CONTACTING support@getcogit.com.

6.2 Subscription Plans

After your free trial, continued use of paid features requires an active subscription. Two plans are available:

Monthly Plan: $10.00 per month, billed monthly in advance. Cancel anytime; your subscription remains active through the end of the current billing period.

Annual Plan: $75.00 per year, billed annually in advance. Renews each year on your subscription anniversary date unless cancelled. Saves approximately $45 compared to 12 months of monthly billing (~$6.25/month).

6.3 Payment Processing

All payments are processed by Lemon Squeezy (lemon.squeezy.com), which serves as the Merchant of Record for all transactions. Lemon Squeezy collects, calculates, and remits all applicable sales taxes, VAT, GST, and similar levies in accordance with applicable law. No additional taxes are charged by Shipping on Fridays LLC.

7. Intellectual Property

The Services and all content, features, and functionality thereof are owned by Shipping on Fridays LLC or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIPPING ON FRIDAYS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES...
